Terms of Service

01Agreement to terms

These Terms of Service ("Terms") govern your access to and use of CoreReflex, an agentic AI film studio (the "Service"). CoreReflex is a product of Girard Media. In these Terms, "we," "us," and "our" mean Girard Media operating the CoreReflex product, and "you" means the individual or organization using the Service.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

02The service

CoreReflex turns a written brief into a finished film. You describe what you want; an agentic director boards a multi-shot plan, generates each shot, adds voiceover, and helps you assemble and edit the result on a timeline. The Service may include features for scriptwriting, color grading, captioning, reframing for different formats, and export.

Outputs are AI-generated. Shots, voices, scripts, edits, and other assets produced through the Service are created by machine-learning models. We may add, change, deprecate, or remove features at any time, and some capabilities are offered as previews that may change before they reach general availability.

Depending on your configuration, parts of the Service — including generation and rendering — may run on your own infrastructure or fleet. Where that is the case, you are responsible for the operation, security, and availability of that infrastructure.

03Accounts & security

To use most features you must create an account and provide accurate, current, and complete information. You are responsible for everything that happens under your account and for keeping your credentials confidential.

04Acceptable use

The Service is powerful and can generate realistic people, voices, and scenes. You agree to use it lawfully and responsibly. You must not use the Service to:

We may suspend or remove content and accounts that we reasonably believe violate this section, and we may report unlawful activity to the appropriate authorities.

05Your content & license

You keep ownership of your inputs — the briefs, scripts, images, audio, and other material you provide — and of the outputs you generate through the Service, to the extent such outputs are capable of ownership under applicable law.

To operate the Service, you grant us a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display your inputs and outputs solely for the purposes of providing, maintaining, securing, and improving the Service for you, and as otherwise described in our Privacy Policy. This license ends when the content is deleted from the Service, except for copies retained in routine backups for a limited period or as required by law.

You are solely responsible for ensuring you have all rights, licenses, and consents necessary for the inputs you provide and for how you use the outputs you generate.

Outputs are produced by AI models and come with important limitations:

07Plans, credits & billing

The Service is offered in tiers — including Free, Pro, and Enterprise. Costly generation and rendering are metered in AI credits. The features, limits, and credit allowances for each tier are described on the Pricing page.

08Third-party services

The Service relies on third-party subprocessors to function. These include Google Cloud / Vertex AI for model inference (generation, voices, and related AI processing) and Stripe for payment processing. Your use of the Service may also be subject to those providers' terms and policies, and their handling of data is described further in our Privacy Policy. We are not responsible for third-party services outside our control.

09Intellectual property

The Service itself — including the CoreReflex and Girard Media software, models we develop, the website, the brand, names, logos, and design — is owned by Girard Media or its licensors and is protected by intellectual-property laws. Nothing in these Terms transfers any ownership in the Service to you, except for the license to your own content and outputs described in Section 5. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as permitted by law.

10Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that outputs will be accurate, lawful, or fit for your intended use.

11Limitation of liability

To the maximum extent permitted by law, neither Girard Media nor its suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) [AMOUNT]. Some jurisdictions do not allow certain of these limitations, so parts of this section may not apply to you.

12Indemnification

You agree to defend, indemnify, and hold harmless Girard Media and its officers, employees, and agents from and against any claims, damages, liabilities, losses, and reasonable expenses (including legal fees) arising out of or related to your content, your inputs, your use of outputs, your misuse of the Service, or your violation of these Terms or of any law or third-party right.

13Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if continuing to provide the Service to you is no longer commercially reasonable.

On termination, your right to use the Service ends. Where reasonably practicable, we will give you an opportunity to export your content for a limited period, after which we may delete it in the ordinary course, subject to backups and legal-retention requirements. Sections that by their nature should survive — including ownership, disclaimers, liability limits, and indemnification — survive termination.

14Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. For material changes, we will provide reasonable notice — for example, by email or an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

15Governing law & disputes

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules. You and we agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in [VENUE], and you consent to the personal jurisdiction of those courts. Nothing here limits any non-waivable rights you may have under the mandatory laws of your place of residence.
